2025商務(wù)英語(yǔ)合同條款寫(xiě)作技巧ContractAgreementforBusinessServices(2025)PartiesThisContractAgreement(the"Agreement")ismadeandenteredintoasof(the"EffectiveDate"),byandbetween:("Client"),acompanyincorporatedunderthelawsofwithitsprincipalplaceofbusinesslocatedat("Client"),and("ServiceProvider"),acompanyincorporatedunderthelawsofwithitsprincipalplaceofbusinesslocatedat("ServiceProvider").TheClientandServiceProvidermaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."RecitalsWHEREAS,theClientdesirestoengagetheservicesoftheServiceProviderfortheprovisionofcertainbusinessservices(the"Services");andWHEREAS,theServiceProvideriswillingtoprovidesuchServicestotheClientonthetermsandconditionssetforthherein;NOW,THEREFORE,thePartiesheretoagreeasfollows:1.ScopeofServices1.1TheServiceProvidershallprovidetheServicesasdetailedinExhibitAattachedhereto,whichformsanintegralpartofthisAgreement.1.2TheServicesshallbeprovidedoverthetermspecifiedinSection2ofthisAgreement(the"Term").1.3TheServiceProvidershalluseitsbesteffortstoensuretheServicesaredeliveredinaccordancewiththespecifications,timelines,andstandardsoutlinedinExhibitA.2.TermandTermination2.1TheTermofthisAgreementshallcommenceonandcontinueforaperiodof(the"InitialTerm"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.2UpontheexpirationoftheInitialTerm,theAgreementmayberenewedforadditionaltermsasmutuallyagreeduponbythePartiesinwriting.2.3EitherPartymayterminatethisAgreementwithorwithoutcausebyproviding(the"NoticePeriod")days'writtennoticetotheotherParty,unlessotherwiseprovidedherein.3.ConsiderationandPayment3.1InconsiderationfortheServices,theClientshallpaytheServiceProviderthefeesspecifiedinExhibitA(the"Fees").3.2TheFeesshallbepaidinaccordancewiththepaymenttermsoutlinedinExhibitA,whichmayincludewithoutlimitation,themethodofpayment,currency,andinvoicingprocedures.3.3TheServiceProvidershallprovidetheClientwithaccurateanddetailedinvoices,andtheClientshallreviewandapprovesuchinvoiceswithindaysofreceipt.3.4IftheClientfailstomaketimelypayment,theServiceProvidermaysuspendtheServicesuntilpaymentisreceivedinfull,withoutprejudicetoanyotherrightsorremediesavailabletotheServiceProviderunderthisAgreementoratlaw.4.WarrantiesandRepresentations4.1TheServiceProviderherebywarrantsandrepresentsthatithasthenecessaryexpertise,licenses,andqualificationstoprovidetheServicesinaccordancewiththetermsofthisAgreement.4.2TheServiceProviderfurtherwarrantsthattheServiceswillbeprovidedinaprofessionalandworkmanlikemanner,incompliancewithallapplicablelaws,regulations,andindustrystandards.4.3TheClientwarrantsthatithastheauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.5.Confidentiality5.1BothPartiesagreetomaintaintheconfidentialityofallnon-public,proprietary,orconfidentialinformationdisclosedduringtheTerm(the"ConfidentialInformation").5.2TheobligationofconfidentialityshallsurvivetheterminationofthisAgreementandshallremaininfullforceandeffectforaperiodofyears.5.3NeitherPartyshalldisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworregulatoryauthority.6.IntellectualProperty6.1Allright,title,andinterestinandtoanyintellectualpropertycreatedordevelopedbytheServiceProviderinthecourseofprovidingtheServices(the"ServiceIP")shallvestintheClient,subjecttothetermsofthisAgreement.6.2TheServiceProvidershallpromptlydiscloseandTransfertotheClient,atnoadditionalcost,allrights,title,andinterestintheServiceIP.6.3TheClientacknowledgesandagreesthattheServiceProvidershallretainownershipofanypre-existingintellectualpropertyusedintheperformanceoftheServices,unlessotherwiseagreedinwriting.7.ChangesandAmendments7.1AnychangesoramendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.7.2IftheServicesrequirechangesduetoClientinstructionsorcircumstancesbeyondtheServiceProvider'scontrol,theServiceProvidershallinformtheClientoftheimpactonthetimelines,budget,orscopeoftheServices.7.3ThePartiesshallnegotiateingoodfaithtoagreeuponanyrequiredchanges,andtheServiceProvidershallnotunreasonablyrefusetoaccommodatesuchchanges.8.LiabilityandIndemnification8.1NeitherPartyshallbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforrelatedtothisAgreement,regardlessoftheformofaction.8.2TheServiceProvidershallindemnifyandholdharmlesstheClientagainstanyclaims,damages,losses,orexpensesarisingoutofanybreachofthisAgreementbytheServiceProvideroranynegligentorwilfulactoromissionbytheServiceProvider.8.3TheClientshalldefend,indemnify,andholdharmlesstheServiceProvideragainstanyclaims,damages,losses,orexpensesarisingoutofanybreachofthisAgreementbytheClientoranynegligentorwilfulactoromissionbytheClient.9.ForceMajeure9.1IfeitherPartyispreventedfromfulfillingitsobligationsunderthisAgreementduetoaForceMajeureEvent(asdefinedbelow),theaffectedPartyshallpromptlynotifytheotherPartyandtakeallreasonablestepstomitigatetheeffectsoftheForceMajeureEvent.9.2TheaffectedPartyshallbeexcusedfromperformanceforthedurationoftheForceMajeureEvent,andtheTermshallbeextendedaccordingly.9.3IftheForceMajeureEventcontinuesforaperiodofdays,eitherPartymayterminatethisAgreementbywrittennoticetotheotherParty.10.GoverningLawandDisputeResolution10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2AnydisputesarisingoutoforrelatedtothisAgreementshallfirstberesolvedthroughfriendlynegotiationsbetweentheParties.10.3Ifthedisputesarenotresolvedwithindaysofthedateoftheinitialcomplaint,thePartiesagreetosubmitthemattertoarbitrationininaccordancewiththerulesof.10.4Theshallhavesolejurisdictionoveranylegalproceedings,andthePartieswaiveanyobjectiontojurisdictionorvenueinsuchforums.11.GeneralProvisions11.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten.11.2Amendments:NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothParties.11.3Waiver:NowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbythePartyagainstwhomthewaiverissoughttobeenforced.Awaiverofoneprovisionshallnotbeconstruedasawaiverofanyotherprovision.11.4Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.11.5Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.11.6Headings:TheheadingscontainedinthisAgreementareforreferencepurposesonlyandshallnotbedeemedtolimitorexpandthescopeofanyprovisionhereof.11.7Notice:Allnotices,requests,demands,orothercommunica
