I.Background

PartyAholdscertainequityinterestsin[TargetCompanyName](the"TargetCompany").PartyAandPartyChavereachedanagreementthatPartyAwillholdtheequityinterestsintheTargetCompanyonbehalfofPartyC.PartyBisengagedintrusteebusinessandiswillingtoactasthetrusteetohandletherelevantmattersofthisequitytrusteeshipinaccordancewiththetermsandconditionsofthisAgreement.

II.PurposeoftheAgreement

ThepurposeofthisAgreementistoclarifytherightsandobligationsofthepartiesintheequitytrusteeshiprelationship,regulatethehandlingofequitytrusteeshipmatters,andsafeguardthelegitimaterightsandinterestsofallparties.

III.SubjectMatteroftheTrusteeship

PartyAherebyagreestoentrustPartyBtoholdtheequityinterestsintheTargetCompanyonbehalfofPartyCinaccordancewiththetermsandconditionsofthisAgreement.PartyCherebyagreestoacceptsuchtrusteeship.Thespecificequityinterestssubjecttothetrusteeshipareasfollows:[describetheequitystake,suchasthenumberofshares,percentageofownership,etc.].

IV.RightsandObligationsoftheTrustor(PartyA)

A.Rights

1.PartyAhastherighttoreceiveinformationabouttheoperationandmanagementoftheequityinterestsintheTargetCompanyfromPartyBinatimelymannerinaccordancewiththeprovisionsofthisAgreement.

2.PartyAhastherighttorequirePartyBtohandlethetrusteeshipmattersinstrictaccordancewiththetermsandconditionsofthisAgreement.

3.PartyAhastherighttosupervisePartyB'sperformanceofitsdutiesasthetrustee.

B.Obligations

1.PartyAshallprovidePartyBwithtrue,accurate,andpleteinformationanddocumentsrelatedtotheequityinterestsintheTargetCompanyasrequiredbyPartyB.

2.PartyAshallcooperatewithPartyBinhandlingvariousmattersrelatedtotheequitytrusteeship,includingbutnotlimitedtosigningrelevantdocumentsandattendingmeetings.

3.PartyAshallindemnifyPartyBandholdPartyBharmlessfromanylosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreement.

V.RightsandObligationsoftheTrustee(PartyB)

A.Rights

1.PartyBhastherighttoreceivetrusteeshipfeesasagreedinthisAgreement.

2.PartyBhastherighttohandlethetrusteeshipmattersinaccordancewiththetermsandconditionsofthisAgreementandrelevantlawsandregulations.

3.PartyBhastherighttoobtainnecessarycooperationandassistancefromPartyAandPartyCinhandlingthetrusteeshipmatters.

B.Obligations

1.PartyBshallhandletheequitytrusteeshipmattersinstrictaccordancewiththetermsandconditionsofthisAgreement,applicablelaws,andregulations,andexerciseduediligenceandcare.

2.PartyBshallkeepconfidentialallinformationanddocumentsobtainedduringtheperformanceofthetrusteeshipduties,exceptasrequiredbylaworwiththepriorwrittenconsentofPartyAandPartyC.

3.PartyBshalltransfertheproceedsandbenefitsobtainedfromtheequityinterestsintheTargetCompanytoPartyCinatimelymannerinaccordancewiththeprovisionsofthisAgreement.

4.PartyBshallreporttheprogressandresultsofthetrusteeshipmatterstoPartyAandPartyConaregularbasisasagreedinthisAgreement.

5.PartyBshallindemnifyPartyAandPartyCandholdthemharmlessfromanylosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement.

VI.RightsandObligationsoftheBeneficiary(PartyC)

A.Rights

1.PartyChastherighttoenjoyalltheproceedsandbenefitsarisingfromtheequityinterestsintheTargetCompanyheldbyPartyBonitsbehalf.

2.PartyChastherighttorequirePartyBtotransfertheequityinterestsintheTargetCompanybacktoPartyCinaccordancewiththeprovisionsofthisAgreementundercertaincircumstances.

3.PartyChastherighttosupervisePartyB'sperformanceofitsdutiesasthetrusteetoensurethatitsrightsandinterestsareproperlyprotected.

B.Obligations

1.PartyCshallpaythetrusteeshipfeesandotherexpensesasagreedinthisAgreementtoPartyBinatimelymanner.

2.PartyCshallcooperatewithPartyAandPartyBinhandlingvariousmattersrelatedtotheequitytrusteeship.

3.PartyCshallindemnifyPartyAandPartyBandholdthemharmlessfromanylosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyC'sbreachofthisAgreement.

VII.TrusteeshipFees

PartyCshallpayPartyBtrusteeshipfeesattherateof[X]%oftheannualdistributableprofitsoftheequityinterestsintheTargetCompanyheldbyPartyBonbehalfofPartyC.ThetrusteeshipfeesshallbecalculatedonacalendaryearbasisandshallbepaidbyPartyCtoPartyBwithin[X]daysaftertheendofeachcalendaryear.

Inadditiontotheabovetrusteeshipfees,PartyCshallalsobearallotherreasonableexpensesincurredbyPartyBinconnectionwiththeperformanceofthetrusteeshipduties,includingbutnotlimitedtolegalfees,accountingfees,andtravelexpenses.

VIII.DurationoftheTrusteeship

ThedurationofthisequitytrusteeshipshallbefromtheeffectivedateofthisAgreementuntiltheterminationofthisAgreementinaccordancewiththeprovisionshereof.

EitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherparties[X]daysinadvance.Inaddition,thisAgreementshallterminateautomaticallyunderanyofthefollowingcircumstances:

1.TheequityinterestsintheTargetCompanyaretransferredinaccordancewiththelawortheagreementoftheparties;

2.TheTargetCompanyisdissolvedorliquidated;

3.ThisAgreementisdeclaredinvalidorunenforceablebyacourtoflaw.

IX.TransferofEquityInterests

DuringthetermofthisAgreement,PartyAshallnottransfertheequityinterestsintheTargetCompanyheldbyPartyBonbehalfofPartyCwithoutthepriorwrittenconsentofPartyC.

IfPartyCrequestsPartyBtotransfertheequityinterestsintheTargetCompanybacktoPartyC,PartyBshallcooperatewithPartyCtopletethetransferproceduresinaccordancewiththelawandtheprovisionsofthisAgreement.

X.VotingRightsandManagementRights

PartyBshallexercisethevotingrightsandmanagementrightsattachedtotheequityinterestsintheTargetCompanyheldonbehalfofPartyCinaccordancewiththeinstructionsandauthorizationofPartyC.PartyCshallissuewritteninstructionsandauthorizationstoPartyBinatimelymannertoguidePartyB'sexerciseofsuchrights.

XI.RepresentationsandWarranties

A.RepresentationsandWarrantiesofPartyA

1.PartyArepresentsandwarrantsthatitisthelegalowneroftheequityinterestsintheTargetCompanytobeentrusted,andithasthefullrightandauthoritytoenterintothisAgreementandperformitsobligationshereunder.

2.PartyArepresentsandwarrantsthattheinformationanddocumentsprovidedbyittoPartyBandPartyCaretrue,accurate,andplete,andtherearenomaterialomissionsormisrepresentations.

3.PartyArepresentsandwarrantsthattheequityinterestsintheTargetCompanyarefreefromanyliens,encumbrances,orotherthirdpartyrightsandintereststhatmayaffecttheperformanceofthisAgreement.

B.RepresentationsandWarrantiesofPartyB

1.PartyBrepresentsandwarrantsthatitisalegallyestablishedandvalidlyexistingpanyengagedintrusteebusiness,andithasthefullrightandauthoritytoenterintothisAgreementandperformitsobligationshereunder.

2.PartyBrepresentsandwarrantsthatitwillhandletheequitytrusteeshipmattersinstrictaccordancewiththetermsandconditionsofthisAgreement,applicablelaws,andregulations,andexerciseduediligenceandcare.

3.PartyBrepresentsandwarrantsthatitwillkeepconfidentialallinformationanddocumentsobtainedduringtheperformanceofthetrusteeshipduties,exceptasrequiredbylaworwiththepriorwrittenconsentofPartyAandPartyC.

C.RepresentationsandWarrantiesofPartyC

1.PartyCrepresentsandwarrantsthatitisalegallyestablishedandvalidlyexistingpany,andithasthefullrightandauthoritytoenterintothisAgreementandperformitsobligationshereunder.

2.PartyCrepresentsandwarrantsthatitwillpaythetrusteeshipfeesandotherexpensesasagreedinthisAgreementinatimelymanner.

3.PartyCrepresentsandwarrantsthatitwillcooperatewithPartyAandPartyBinhandlingvariousmattersrelatedtotheequitytrusteeship.

XII.Confidentiality

AllpartiesshallkeepconfidentialallinformationanddocumentsrelatedtothisAgreementandtheequitytrusteeshipmatters,includingbutnotlimitedtothetermsandconditionsofthisAgreement,thefinancialinformationoftheTargetCompany,andthebusinesssecretsofeachparty.Withoutthepriorwrittenconsentoftheotherparties,nopartyshalldisclosesuchinformationtoanythirdparty,exceptasrequiredbylaw.

XIII.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[specificcourt]in[jurisdiction]forsettlement.

XIV.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesw
