2025版國家安全保密協(xié)議（中英文版）NATIONALSECURITYANDCONFIDENTIALITYAGREEMENT(CHINESEANDENGLISHVERSION)ThisAgreementismadeandenteredintoon[Date],andbetweenthefollowingparties:PartyA:_______________[FullName][Position][Company/OrganizationName][Company/OrganizationAddress][Company/OrganizationRegistrationNumber]PartyB:_______________[FullName][Position][Company/OrganizationName][Company/OrganizationAddress][Company/OrganizationRegistrationNumber]WHEREAS,PartyAisengagedin[DescriptionofBusiness]andPartyBisengagedin[DescriptionofBusiness];ANDWHEREAS,PartyAandPartyBintendtosharecertainconfidentialinformationinthecourseoftheirbusinessrelationship;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:1.ConfidentialInformation2.ObligationsoftheParties2.1.PartyAagreestoholdinstrictconfidenceandnotdisclosetoanythirdpartyanyConfidentialInformationofPartyB,exceptaspermittedthisAgreement.2.2.PartyBagreestoholdinstrictconfidenceandnotdisclosetoanythirdpartyanyConfidentialInformationofPartyA,exceptaspermittedthisAgreement.2.3.EachPartyagreestousetheConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandnotforanyotherpurpose.2.4.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementandshallremainineffectforaperiodof___________(___________)yearsfromthedateofdisclosure.3.ExclusionsfromConfidentialInformationTheobligationsofconfidentialityshallnotapplytoinformationwhich:3.2.IsalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;3.3.IsobtainedthereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;3.4.IsindependentlydevelopedthereceivingPartywithoutuseoforreferencetotheConfidentialInformationofthedisclosingParty;3.5.Isrequiredtobedisclosedlaw,regulation,orcourtorder,providedthatthereceivingPartygivesthedisclosingPartypromptwrittennoticeofsuchrequirementandassistance,atthedisclosingParty'srequestandexpense,inseekinganappropriateprotectiveorder.4.ReturnofConfidentialInformationUponterminationorexpirationofthisAgreement,oruponthedisclosingParty'swrittenrequest,thereceivingPartyshallreturnallcopiesofConfidentialInformationtothedisclosingPartyorcertify,ifrequested,thedestructionofsuchConfidentialInformation.5.TermandTermination5.2.EitherPartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherParty,providedthatsuchterminationshallnotaffecttheobligationsofconfidentialityunderthisAgreement.6.GoverningLawandDisputeResolution6.1.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe[Jurisdiction].6.2.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiation.Ifthepartiesareunabletoresolvethedisputethroughnegotiation,itshallbesubmittedtothe[SpecificCourtorArbitrationBody]forresolution.7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.8.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothParties.INWITNESSWHEREOF,thepartiesha
