光伏電站運(yùn)營(yíng)管理合同協(xié)議2026Parties:PartyA(hereinafterreferredtoas"theClient")is[ClientCompanyName],withitsregisteredaddressat[ClientRegisteredAddress],andcontactperson[ClientContactPerson].PartyB(hereinafterreferredtoas"theServiceProvider")is[ServiceProviderCompanyName],withitsregisteredaddressat[ServiceProviderRegisteredAddress],andcontactperson[ServiceProviderContactPerson].Background/Recitals:Whereas,PartyAownsorholdstherighttouseaphotovoltaicpowerstation(hereinafterreferredtoas"thePowerStation")locatedat[PowerStationAddress],withatotalinstalledcapacityof[Capacity]MW,using[TechnologyType]technology;Whereas,PartyBisexperiencedandqualifiedintheoperationandmanagementofphotovoltaicpowerstations;Whereas,PartyAdesirestoentrustPartyBtoprovideprofessionaloperationandmanagementservicesforthePowerStation,andPartyBiswillingtoprovidesuchservices;Now,therefore,thePartiesagreeasfollows:DefinitionsandInterpretations:1."OperationandManagementServices"referstothecomprehensiveservicesprovidedbytheServiceProviderforthePowerStation,includingbutnotlimitedto:dailymonitoring,equipmentmaintenance,performanceevaluation,faulthandling,safetyinspection,powergenerationstatistics,insurancemanagement,gridinteraction,compliancereporting,andothertasksnecessarytoensuretheefficient,safe,andeconomicoperationofthePowerStation.2."NetPowerGeneration"meanstheelectricitygeneratedbythePowerStationafterdeductingthepowerconsumedbytheoperationandmanagementitself,ascalculatedaccordingtotheagreedmethod.3."ContractTerm"referstotheperiodfromtheeffectivedateofthisContractto[EndDate].4."EffectiveDate"referstothedatewhenbothPartiessignandsealthisContract.5."ForceMajeure"referstoeventsthatcannotbereasonablyforeseenorpreventedbyeitherParty,includingbutnotlimitedtonaturaldisasters,wars,armedconflicts,insurrections,actsofgovernment,laws,regulations,orpolicies,andsevereepidemics.6."Notice"meansanywrittencommunicationsentbyonePartytotheotherPartyinaccordancewiththeproceduresspecifiedinthisContract.ContractTermandCommencement:1.ThetermofthisContractshallbe[Number]years,commencingfromtheEffectiveDate.2.ThisContractshallcommenceandenterintoforceupontheEffectiveDate.ScopeofServices:1.TheServiceProvidershallprovidethefollowingoperationandmanagementservicesforthePowerStationduringtheContractTerm:a.DailyOperationMonitoring:Real-timedatacollection,statusmonitoring,powergenerationperformancetracking.b.PreventiveMaintenance:Regularcleaning(panels,racks),equipmentinspection,tightening,lubrication,calibration,andothertaskstomaintainequipmentcondition.c.FaultDiagnosisandRepair:Rapidresponsetofaultalarms,diagnosis,arrangingforrepairs,includingcomponentreplacement,inverterrepair/replacement,cablerepair,etc.d.PerformanceEvaluationandAnalysis:Regularperformanceassessments(PPA-relatedactivities),analysisofefficiencydeclinecauses,andsubmissionofoptimizationrecommendations.e.SafetyManagement:Implementingsafetyoperationprocedures,conductingsafetyinspections,handlingsafetyhazards,purchasingandmanagingrelevantinsurance(e.g.,liabilityinsurance).f.GridConnectionandPowerManagement:Ensuringcompliantgridconnectionoperations,statisticsandrecordingofpowergenerationdatafor上網(wǎng).g.ComplianceManagement:EnsuringthePowerStation'soperationcomplieswithlocalgridcompany,environmentalprotection,fireprotection,andotherregulatoryrequirements;assistinginobtainingorapplyingforrelevantpermitsandreports.h.ReportingandCommunication:Providingregularoperationalreports,financialreports,performancereports,etc.,totheClientasagreed.2.TheServiceProvidershallperformtheservicesdescribedabovewiththestandardsrequiredtoensuretheefficient,safe,andeconomicoperationofthePowerStation.RightsandObligationsofPartyA(Client):1.PartyAshallpaytheservicefeestoPartyBinaccordancewiththetermsofthisContract.2.PartyAshallprovidePartyBwithproofofownershiporusagerightsofthePowerStationassets.3.PartyAshallassistPartyBinobtaininganynecessaryoperationalpermitsorapprovalsasrequiredbylaworregulation.4.PartyAshallprovidenecessaryinfrastructureorconveniencesasrequestedbyPartyBfortheperformanceofitsservices(e.g.,sparepartsstorageroom,toolroom).5.PartyAshallreviewandapprovethekeyreportssubmittedbyPartyBinatimelymanner.6.PartyAshallreceivetheserviceresultsprovidedbyPartyBinaccordancewiththetermsofthisContract.RightsandObligationsofPartyB(ServiceProvider):1.PartyBshallperformtheoperationandmanagementservicesforthePowerStationinaccordancewiththescope,standards,andtimerequirementsagreedinthisContract.2.PartyBshallmaintainthesafetyandintegrityofthePowerStationequipmentandassets,andbearthelossescausedbyitsownoperationalnegligence.3.PartyBshallretainoperationdata,maintenancerecords,reports,andotherdocumentsrelatedtothePowerStation.4.PartyBshallestablishasoundoperationalteamandcontingencyplans.5.PartyBshallacceptreasonablesupervisionandinspectionbyPartyAwithintheagreedscope.6.PartyBshallproperlysafeguardthePowerStationkeys,equipmentdocuments,andotherproperties.7.PartyBshallassistinhandlingmattersrelatedtothegridcompanyorotherthirdpartiesasnecessary.ServiceFeesandPayment:1.Theservicefeesshallbecalculatedbasedon[SpecifyMethod,e.g.,afixedrate,apercentageofnetpowergeneration,oracombinationthereof].2.Thedetailedcompositionoftheservicefeesshallinclude[ListComponents,e.g.,basicO&Mfee,faultrepairfee(e.g.,maintenancepackageoradditionalcharges),performanceimprovementservicefee,etc.].3.Paymentshallbemadeby[SpecifyMethod,e.g.,banktransfer]in[SpecifyFrequency,e.g.,monthly,quarterly,annually].4.PaymentshallbemadebyPartyAuponreceiptof[SpecifyRequirements,e.g.,qualifiedinvoices,completionoftheagreedserviceperiod].5.Latepaymentinterestshallbechargedatarateof[SpecifyRate]onanyamountoverdue.ElectricityProductionandRevenueSharing:1.Themeteringofpowergenerationshallbeperformedby[SpecifyWho,e.g.,PartyB,orjointlyagreedmethod],andtheownershipofthemeteringdatashallbe[SpecifyWho].2.NetPowerGenerationshallbecalculatedinaccordancewiththeagreedmethod.3.Therevenuesharingarrangementshallbe[DetailtheArrangement,e.g.,PartyAreceivesafixedbaserevenueplusPartyBreceivesashareoftheexcesspowergeneration,PartyAreceivesallnetpowergenerationandpaysPartyBaservicefee,specificPPAcalculationandpaymentarrangement].4.Thesettlementcycleandpaymentprocessshallbe[DetailtheProcess].FinancialandAuditing:1.[Detailregardingcostbearing,e.g.,ThecostsofoperationandmaintenanceshallbebornebyPartyBandincludedintheservicefee,orPartyAshallbearandpaythecoststoPartyBaccordingtotheagreedterms].2.[Detailregardingbudgetmanagement,e.g.,Ifrequired,anannualO&MbudgetshallbeformulatedandapprovedthroughaprocessagreedbybothParties].3.PartyAshallhavetherighttoauditPartyB'sservicereportsandfinancialrecords,andPartyBshallcooperatewithsuchaudit.LiabilityforBreachofContract:1.EachPartyshallbeliablefordamagesforanybreachofthisContract.Theremediesavailableshallinclude,butnotbelimitedto,compensationforlosses,paymentofliquidateddamages,andterminationofthisContract.2.[Detailspecificbreachscenariosandcorrespondingconsequences,e.g.,IfPartyBfailstomeettheservicestandards,itshallpayliquidateddamagesofXXXperoccurrence;ifPartyAfailstopayfeesontime,itshallpaylatepaymentinterest].3.[Considerincludinga"netloss"principle,e.g.,TheliabilityofeachPartyshallbelimitedtoitsdirectlossesactuallyincurred].ForceMajeure:1.NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure.2.ThePartyaffectedbyForceMajeureshallpromptlynotifytheotherPartyinwritingandproviderelevant證明.TheContractmaybesuspendedduringtheperiodofForceMajeure.3.IfForceMajeurecontinuesformorethan[Number]days,eitherPartymayterminatethisContractbynotifyingtheotherPartyinwriting.Confidentiality:1.EachPartyshallkeepconfidentialallconfidentialinformationobtainedfromtheotherPartyduringthetermofthisContractandforaperiodof[Number]yearsaftertermination,includingbutnotlimitedtotheotherParty'sbusinesssecrets,technicalinformation,operationaldata,etc.2.Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailablebeforethedateofdisclosurebythedisclosingParty;(b)becomespubliclyknownandmadegenerallyavailableafterthedateofdisclosurebythedisclosingPartywithoutbreachofthisContract;(c)isobtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(d)wasindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheotherParty'sconfidentialinformation.InsuranceRequirements:1.PartyBshallprocureandmaintainthroughouttheContractTerminsurancecoveragesof[DetailCoverage,e.g.,liabilityinsurance,propertyinsurance,publicliabilityinsurance]inamountsreasonablysufficienttocoveritsobligationsunderthisContractanditsoperationsatthePowerStation.2.PartyBshallincludePartyAasanamedadditionalinsuredorbeneficiaryonthepoliciesoftheinsurancecoveragesspecifiedabove,asmutuallyagreed.3.PartyBshallpromptlyprovidePartyAwithcopiesoftheinsurancepoliciesuponissuanceanduponanymaterialchangeorcancellation.Amendments:1.AnyamendmenttothisContractshallbemadeinwritingandshallbeeffectiveonlyafteritissignedandsealedbybothParties.Termination/Rescission:1.ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:a.MaterialbreachofthisContractbyoneParty,whichsuchPartyfailstocurewithin[Number]daysafterreceiptofwrittennoticefromtheotherPartydemandingcure.b.ForceMajeurecontinuingformorethan[Number]days.c.MutualagreementofbothPartiesinwriting.d.[Otherapplicableterminationreasons].2.TheParty行使therightofterminationshallnotifytheotherPartyinwritingatleast[Number]dayspriortotermination.3.Upontermination,thePartiesshall[Detailpost-terminationobligations,e.g.,returnequipment,transferdata,settleaccounts].TerminationforConvenience:1.[Ifapplicable,detailprovisionsallowingeitherpartytoterminatewithoutcauseafteraspecifiednoticeperiod,e.g.,EitherPartymayterminatethisContractwithoutcausebyprovidingwrittennoticetotheotherPartyatleast[Number]monthspriortothedesiredterminationdate].DisputeResolution:1.AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtoberesolvedthroughfriendlynegotiationbetweentheParties.2.Ifnegotiationfails,thedisputeshallbesettledby[Chooseone:(a)arbitrationadministeredbythe[SpecifyArbitrationInstitution]accordingtoitsrules,(b)litigationbeforethePeople'sCourthavingjurisdictionover[SpecifyCourtLocationandType]].GoverningLawandJurisdiction:1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,People'sRepublicofChina].2.AnylitigationarisingoutoforinconnectionwiththisContractshallbesubmittedtothecompetentpeople'scourtlocatedin[SpecifyJurisdiction,e.g.,thedistrictwherethePowerStationislocated].Notices:1.Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,sentbyregisteredorcertifiedmail(returnreceiptrequested),orsentbyemail(withconfirmationofreceipt).2.AllnoticesshallbeaddressedtothePartiesattheaddressessetforthintheFirstParagraphofthisContractoratsuchotheraddressoraddressesaseitherPartymaydesignatebynoticetotheotherinwriting.EntireAgreement:1.ThisContract,includingtheattachments(ifany),constitutesthe
