1、英文合同經(jīng)典條款1. 茲經(jīng)買(mǎi)賣(mài)雙方同意按照以下條款由買(mǎi)方購(gòu)進(jìn)，賣(mài)方售出以下商品：This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:2. 索賠:在貨到目地口岸45天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格和數(shù)量與合同不符，除屬保險(xiǎn)

2、公司或船方責(zé)任外，買(mǎi)方有權(quán)憑中國(guó)商檢出具的檢驗(yàn)證書(shū)或有關(guān)文件向賣(mài)方索賠。Claims: within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vesse

3、l are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim compensation from the Sellers.3. 不可抗力：由于不可抗力的緣由發(fā)生在制造、裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣(mài)方延期交貨或不能交貨者，賣(mài)方可免除責(zé)任；在不可抗力發(fā)生后，賣(mài)方須立即電告買(mǎi)方及在14天內(nèi)以空郵方式向買(mǎi)方提供事故發(fā)生的證明文件；在上述情況下，賣(mài)方仍須負(fù)責(zé)采取措施盡快發(fā)

4、貨。Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned

5、 above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.4. 不可抗力：本合同內(nèi)所述全部或

7、束，仲裁費(fèi)用由敗訴方承擔(dān)。Arbitration: All disputes in connection with the execution of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of Intern

8、ational Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party. 6. 仲裁：在履行本合同中所發(fā)生的或者與合同有關(guān)的一切爭(zhēng)執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí)，得提請(qǐng)仲裁。仲裁在中國(guó)進(jìn)

9、行，由中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁委員會(huì)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定，對(duì)買(mǎi)賣(mài)雙方都有約束力。除該仲裁委員會(huì)另有決定外，仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。Arbitration: Any and all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. The arbi

10、tration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and Seller. Unless otherwise awarded by the sa

13、、可以轉(zhuǎn)運(yùn)的及分批發(fā)運(yùn)的即期信用證，議付期至裝運(yùn)日期后第15天在中國(guó)到期。買(mǎi)方在信用證上請(qǐng)?zhí)钭⒈竞贤?hào)碼，貨物名稱(chēng)要按本合同規(guī)定確定。Payment: By 100% confirmed, irrevocable, without recourse L/C, in favor of the Seller, available by sight draft, allowing transshipment and partial shipments, valid for negotiation in China until the 15th day after the date of shipme

The Buyer is requested always to quote in the L/C the number of this Contract and the names of the commodity in accordance herewith.9. 保險(xiǎn)：按照中國(guó)人民保險(xiǎn)公司的保險(xiǎn)條款，按發(fā)票金額的110%投保但不包括罷工、暴亂和民變險(xiǎn)，保至目的口岸為止。如買(mǎi)方要增加保額或保險(xiǎn)范圍，應(yīng)于裝運(yùn)前經(jīng)賣(mài)方同意，因此而增加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。Insurance: For 110% of invoice value, up to the port of destination

16、出售的貨物將以賣(mài)方認(rèn)為適合于第五條規(guī)定的運(yùn)輸方式的包裝材料包裝。如果對(duì)包裝有其他要求，買(mǎi)方應(yīng)征得賣(mài)方同意并承擔(dān)由此而增加的一切額外費(fèi)用。Packing: All the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof. If additional requirement for packing is needed, the Buye

17、r shall have the consent of the Seller and bear all the extra charges thus incurred. 11. 單據(jù)：賣(mài)方只向買(mǎi)方提供下列單據(jù)：a)海運(yùn)時(shí)，海運(yùn)提單；空運(yùn)時(shí)，空運(yùn)提單；鐵路運(yùn)輸時(shí)，貨物承運(yùn)單據(jù)。b)商業(yè)發(fā)票。c)裝箱單。d)當(dāng)支付條款為CIF時(shí)，保險(xiǎn)單或保險(xiǎn)憑下。倘若需要的其他單據(jù)，如產(chǎn)地證、領(lǐng)事發(fā)票等，賣(mài)方可以根據(jù)要求提供，但費(fèi)用由買(mǎi)方承擔(dān)。Documents: The Seller will only provide the Buyer with the following documents for pay

19、r invoice, etc.is required, the seller may provide as requested for the Buyers account.12. 風(fēng)險(xiǎn)：貨物的風(fēng)險(xiǎn)在以下時(shí)候轉(zhuǎn)移至買(mǎi)方：a) 海運(yùn)時(shí)在其超過(guò)航舷，摘下掛鉤時(shí)；b) 空運(yùn)時(shí)在其已交空運(yùn)承運(yùn)人或代理人保管時(shí)；c) 鐵路運(yùn)輸在其已交鐵路保管時(shí)。Risk of Loss: the risk of the commodity shall transfer to the Buyer:a) when it has passed over the ships rail of the vessel and bee

20、n released from tackle in case of shipment by sea;b) when it has been delivered into the custody of the air carrier or agent in case of shipment by air;c) when it has been delivered into the custody of the railway in case of shipment by rail.13. 品質(zhì)數(shù)量異議：如買(mǎi)方提出異議，凡屬品質(zhì)異議應(yīng)于貨到目的地口岸之日起90天內(nèi)提出，凡屬數(shù)量異議應(yīng)于貨到目的口岸

21、之日起15天內(nèi)提出，過(guò)期不予受理。對(duì)所裝貨物所提任何異議屬于保險(xiǎn)公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，賣(mài)方不負(fù)任何責(zé)任。理賠只限于賣(mài)方在收到買(mǎi)方所在地聲譽(yù)良好的商檢機(jī)構(gòu)或商會(huì)出具的商品抽樣檢查報(bào)告，證明貨物與合同不符后，對(duì)品質(zhì)不符的貨物按一比一更換或按照貨物的疵劣程序和損壞的范圍將貨物降價(jià)，對(duì)數(shù)量不符的貨物給予補(bǔ)足。無(wú)論哪種情況下，賣(mài)方均不對(duì)貨物的可銷(xiāo)售性或適用性負(fù)責(zé)，也不對(duì)任何損失賠償負(fù)責(zé)，包括但不僅限于直接的、間接的、附帶的損失。如買(mǎi)方不能在合同約定的期限內(nèi)將信用證開(kāi)到或?qū)㈩A(yù)付款匯到，或者開(kāi)來(lái)的信用證不符合合同約定，而且在接到賣(mài)方通知后，不能按期辦妥改證，賣(mài)方有權(quán)解除合同或延期交貨，并

22、有權(quán)提出索賠。Quality/Quantity Discrepancy: in case of quality discrepancy, claims shall be filed by the Buyer within 90 days after the arrival of the commodity at the port of destination, while for quantity discrepancy, claims shall be filed by the Buyer within 15 days after the arrival of the commodity a

23、t the port of destination. Otherwise no claims will be accepted. It is understood that the Sellers shall not be liable for any discrepancy of the commodity shipped due to causes for which the insurance company, other transportation organization or post office is liable. The settlement of such claims

24、 is restricted to replacement of the non-conforming commodity on a one-to-one basis or devaluation of the commodity according to the degree to inferiority and extent of damage in case of quality discrepancy or supply for the shortage in case of quantity discrepancy after the Seller has received an inspection report on the commodity by sampling issued by a reputable commodity inspection organization or chamber of commerce at the place where the Buyer is located ,certifying the non-conformity thereof.
