**4.Confidentiality**

4.2ThePartiesagreenottouseordiscloseanysuchinformationforanypurposeotherthantheperformanceofthisContractwithoutthepriorwrittenconsentoftheotherParty.

**5.IntellectualProperty**

5.1AllintellectualpropertyrightsinanyworkormaterialsdevelopedbytheConsultantintheperformanceoftheservicesunderthisContractshallbetheexclusivepropertyoftheClient.

5.2TheConsultantherebyassignstotheClientallrights,title,andinterestinandtosuchintellectualpropertyrights.

**6.LimitationofLiability**

6.1TheConsultantshallnotbeliabletotheClientforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthisContract.

6.2TheClient'ssoleandexclusiveremedyforanybreachofthisContractbytheConsultantshallbetheterminationofthisContractandtherecoveryofanypaymentsmadetotheConsultant.

**7.GoverningLawandDisputeResolution**
