勘察設(shè)計(jì)標(biāo)前協(xié)議示范文本起草及使用說明

一、基礎(chǔ)文本

木示范文本是基于1994年《FIDIC咨詢分包及聯(lián)營體協(xié)議使用指南》中附

件2的uPre-ContractAwardAgreement”起草。該附件的應(yīng)用場景是咨詢公司之

間的標(biāo)前聯(lián)營體模式，因此本示范文本在此基礎(chǔ)上結(jié)合FIDIC咨詢分包及我營

體協(xié)議、公司以往簽署過的勘察設(shè)計(jì)標(biāo)前協(xié)議起草而成。

二、應(yīng)用場景

本示范文本適用于我公司作為潛在的總承包商，在標(biāo)前引入勘察設(shè)計(jì)單位協(xié)

助完成投標(biāo)所需的勘察設(shè)計(jì)服務(wù)，中標(biāo)后將相應(yīng)勘察設(shè)計(jì)工作分包給該勘察設(shè)計(jì)

單位的合作模式。

三、使用說明

I.本示范文本【綠色帶方框的字體】是通常情況下均需要根據(jù)項(xiàng)目具體情

況補(bǔ)充、修改、選擇的內(nèi)容。使用單位要注意的是，未采用【綠色帶方

框的文字】的內(nèi)容根據(jù)項(xiàng)目需要也可能需要做相應(yīng)修改。請(qǐng)使用單位在

使用時(shí)，采用Word文檔修訂模式進(jìn)行修改，保留修訂記錄提交評(píng)審,

以提高評(píng)審效率。

2.方框中紅色楷體字是對(duì)相關(guān)條款的說明，同時(shí)個(gè)別條款提供替代條款,

供使用單位選擇。使用時(shí)需要將替代條款移到主文本中。定稿后的協(xié)議

需要將說明性文字刪除，并調(diào)整條款序號(hào)和對(duì)條款的引用。

3.1.1條有特別定義的詞匯，在修改合同時(shí)應(yīng)規(guī)范采用定義的詞匯。

4.本示范文本包含兩個(gè)附表。附表1主要是對(duì)服務(wù)范圍、可交付成果的約

定。服務(wù)范圍主要通過項(xiàng)目物理范圍、服務(wù)內(nèi)容（主要從專業(yè)內(nèi)容角度

進(jìn)行約定）、設(shè)計(jì)階段或設(shè)計(jì)深度（國內(nèi)項(xiàng)目可以參照各行業(yè)官方發(fā)布

的文件編制管理辦法）三個(gè)維度進(jìn)行約定。此外，根據(jù)業(yè)主招標(biāo)文件要

求，列舉勘察設(shè)計(jì)方需要提供的可交付成果及其提交時(shí)間。表中已經(jīng)列

舉的內(nèi)容為通常情況下可能需要提供的又件，具體使用時(shí)根據(jù)實(shí)際情況

修改。需要在備注欄約定提交的可交付成果的語言、數(shù)量、是否提交紙

質(zhì)版等。如附表1中約定的可交付成果包含中外文版本，且附表2對(duì)翻

譯費(fèi)用未做特別約定，則翻譯費(fèi)用由乙方承擔(dān)。

附表2用于對(duì)雙方標(biāo)前的各類成本費(fèi)用進(jìn)行分劈。因?yàn)橐信e所有可能

發(fā)生的費(fèi)用總會(huì)有遺漏，因此本示范文本采用相反的規(guī)定模式，即除非

雙方在附表2中有特別約定，各方自行承擔(dān)標(biāo)前發(fā)生的費(fèi)用。如附表2

中列出的勘察設(shè)計(jì)方國際差旅交通費(fèi)由CRIG承擔(dān)一半.言外之意，勘

察設(shè)計(jì)方非國際的差旅交通費(fèi)由其自行承擔(dān)。

鑒于：

1）【業(yè)主的姓名（以下稱“業(yè)主”），描述其打算實(shí)施某項(xiàng)工程（以下稱“本

項(xiàng)目”）的意圖，以及為此進(jìn)行公開招標(biāo)/邀請(qǐng)招標(biāo)/議標(biāo)等，委任承包商為其

提供設(shè)計(jì)、采購、施工、試運(yùn)營等其中一項(xiàng)或多項(xiàng)服務(wù)的相關(guān)事實(shí)陳述】。

2）甲方計(jì)劃以總承包商的身份參與本項(xiàng)目。

3）為了準(zhǔn)備并提交本項(xiàng)目的建議書/投標(biāo)書，甲方計(jì)劃完成必要的標(biāo)前勘察設(shè)計(jì)

工作，包括【對(duì)工作內(nèi)容的簡要描述，如現(xiàn)場踏勘、地形測繪、地質(zhì)勘查、

（預(yù)）可行性研究、初步設(shè)計(jì)等】（以下稱“標(biāo)前勘察設(shè)計(jì)工作”）。

4）乙方是一家經(jīng)驗(yàn)豐富的勘察設(shè)計(jì)公司，具備【勘察設(shè)計(jì)資質(zhì)等級(jí)，如綜合甲

級(jí)、鐵道工程甲級(jí)、市政工程甲級(jí)等】，具有與本項(xiàng)目規(guī)模、性質(zhì)、技術(shù)要

求相匹配的專業(yè)技術(shù)人員、技術(shù)和設(shè)備，有意在標(biāo)前階段為甲方提供上述標(biāo)

前勘察設(shè)計(jì)服務(wù)。

5）在遵守與本項(xiàng)目有關(guān)的法律法規(guī)和業(yè)主要求的前提下，甲方有意在業(yè)主授予

其本項(xiàng)目總承包合同后，將相應(yīng)部分的勘察設(shè)計(jì)工作分包給乙方。

雙方在充分發(fā)揮各自優(yōu)勢的基礎(chǔ)上，經(jīng)友好協(xié)商，就本項(xiàng)目的標(biāo)前合作事宜達(dá)成

如下協(xié)議。

1、鑒于條款第一條需要枝據(jù)項(xiàng)目業(yè)主的具體采購方式（公開招標(biāo)、邀請(qǐng)招標(biāo)、議標(biāo)）、

第一條定義及解釋

L1定義

除上下文另有要求外，本協(xié)議中以下詞語和措辭應(yīng)當(dāng)具有以下所述的含義。

1.1.1“本協(xié)議”系指雙方簽署的本協(xié)議及其附表和附件（如有），包括不時(shí)之修

改。

1.1.2“項(xiàng)目合同”系指為本項(xiàng)目實(shí)施，業(yè)主可能授予甲方并由業(yè)主和甲方簽署

的合同，包括其附件、合同中列出的補(bǔ)充文件（如有），以及不時(shí)之修改。

1.1.3“勘察設(shè)計(jì)方/乙方”系指【勘察設(shè)計(jì)方/乙方的名稱】，及其法定繼承人和

允許的受讓人。

1.1.4"中鐵XX/甲方，系指【中鐵XX公司工及其法定繼承人和允許的受讓

人。

1.1.5“可交付成果”系指本協(xié)議附表1中所列明的，乙方同意為甲方提供的所

有文件和資料。可交付成果是標(biāo)前勘察設(shè)計(jì)工作的一部分。

1.1.6“業(yè)主”系指【業(yè)主的名稱工及其法定繼承人和允許的受讓人。

1.1.7“知識(shí)產(chǎn)權(quán)”系指所有的知識(shí)產(chǎn)權(quán)，包括但不限于任何專利、專利申請(qǐng)、

商標(biāo)、商業(yè)秘密、注冊(cè)外觀設(shè)計(jì)、注冊(cè)外觀沒計(jì)申請(qǐng)、著作權(quán)、外觀設(shè)計(jì)、

精神權(quán)利、程序、配方、說明書、圖紙，也包括計(jì)算機(jī)軟件和數(shù)據(jù)庫權(quán)利

在內(nèi)的，在世界上任何地點(diǎn)產(chǎn)生的所有知識(shí)產(chǎn)權(quán)權(quán)利。

1.1.8”標(biāo)前勘察設(shè)計(jì)工作”系指本協(xié)議中附表1所列，由乙方按照本協(xié)議規(guī)定

向甲方提供的服務(wù)。

1.1.9“項(xiàng)目”系指附表1中指明的，業(yè)主計(jì)劃實(shí)施并著手為之招選總承包商的

工程。

1.1.10“建議書/投標(biāo)書”系指由甲方為響應(yīng)業(yè)主本項(xiàng)目的招標(biāo)邀請(qǐng)或作為非邀約

建議書向業(yè)主遞交的要約。

1.1.11“勘察設(shè)計(jì)工作”系指建議書/投標(biāo)書被業(yè)主接受后，在簽署的項(xiàng)目合同下

需要由總承包商完成的勘察設(shè)計(jì)工作。

L2解釋

1.2.1本協(xié)議中的標(biāo)題在解釋時(shí)不做考慮。

1.2.2在上下文需要的情況下，男性包括女性，自然人包括法人，反之亦然。

1.2.3除非另有說明，否則本協(xié)議中的所有引用條款編號(hào)均指本協(xié)議中條款編號(hào),

而不是指構(gòu)成本協(xié)議一部分的任何其他文件:中的條款編號(hào)。

1.DEFINITIONSANDINTERPRETATION:

1.1DEFINITIONS

1.1.6"Employer“means[ThenameoftheEmployer],anditslegalsuccessorsand

permittedassignees.

1.1.7"IntellectualProperty“meansallintellectualpropertyrightsincluding,

withoutlimitation,anypatents,patentapplication,trademarks,tradesecrets,

registereddesigns,registereddesignapplication,copyrights,designrights,

moralrights,process,formula,specificalion,drawing,includingrightsin

computersoftwareanddatabaseshowsoeverarisinginanypartoftheworld.

1.1.8"Pre?bidConsultancyServices“meansthoseservicesspecifiedinthis

AgreementasoutlinedinSchedule1andanyotherservicestheConsultant

agreestoprovideto|CRXX|fromtimetotimeduringthepre-bidstage.

1.1.9"Project“meanstheundertakingorproposedoractualworksnamedin

Schedule1inconnectionwithwhichtheEmployerintendsorhascommenced

toproceedandrequiresdesignandconstructionservices.

1.1.10“Proposal/TeiKkr”meanstheoffertobepreparedandsubmittedby[CRXX]

inresponsetotheEmployer\invitationorasanunsolicitedproposal.

1.1.11"SurveyandDesignWorks"meansthesurveyanddesignwhicharcrequired

tobeperformundertheContraciiftheProposal/Tcndcrisacceptedbythe

Employer.

L2INTERPRETATION

1.2.1TheheadinginthisAgreemnelshallnotbetakenintoconsiderationinits

interpretation.

1.2.2Thesingularincludesthepluralandthemasculineincludesthefeminineand

viceversawherethecontextrequires.

1.2.3Unlessotherwisestated,allreferencesintheAgreemernaretoclauses

numberedinthisAgreemenlandnottothoseinanyotherdocumentforming

partoftheAgreemenl.

第二條合作目的及形式

2.1為獲取本項(xiàng)目的合同，雙方應(yīng)通力協(xié)作，盡最大努力完成建議書/投標(biāo)書的

準(zhǔn)備工作，并以甲方的名義提交給業(yè)主。

2.2雙方之間的具體合同形式如下：

1）所有工作，包括但不限于項(xiàng)目的推介、準(zhǔn)備、協(xié)商、建議書/投標(biāo)書

的提交，以及項(xiàng)目合同的簽署和履行，均應(yīng)當(dāng)以甲方名義執(zhí)行。

2）乙方應(yīng)當(dāng)按照本協(xié)議的規(guī)定以及甲方和業(yè)主有關(guān)本項(xiàng)目的其他要求

完成標(biāo)前勘察設(shè)計(jì)工作。

3）業(yè)主將項(xiàng)目合同授予甲方之后，且在遵守與本項(xiàng)目有關(guān)的法律法規(guī)

和業(yè)主要求的前提下，雙方需經(jīng)協(xié)商一致另行簽訂書面分包合同（以

下稱“正式協(xié)議”），將與本協(xié)議服務(wù)范圍有關(guān)的勘察設(shè)計(jì)工作分包

給乙方。

2.PURPOSEANDFORMOFCOOPERATION

2.1ThePartiesshalljoinforcesandmakeallbestendeavorsforthepreparationand

submittaltotheEmployeroftheProposal/Tender,underthenameof[CRXX],

toobtainfromtheEmployertheawardoftheContract.

2.2TheformandstyleofcooperationbetweenthePartiesshallbeasfollows:

a)Allworks,including(butnotlimitedto)promotion,preparation,

negotiation,submittaloftheProposal/Tender,andexecutionand

performanceoftheContract,shallbeconductedunderthenameof

[CRXX],

b)TheConsullanlshallcarryoutthePre-bidConsultancyServicesuponthe

termsandconditionsseioutinthisAgreemenl.

c)Subjecttocomplyingwiththeapplicablelawsandregulationsrelatingto

thesaidProject,upontheawardoftheContractbytheEmployerto

[CRXX],thePartiesshallenterintoasubcontract(^FormalAgreement,,)

underwhich[CRXX]subcontractstherelevantpartofSurveyandDesign

WorksoftheProieeltotheConsultantpursuanttothetermsandconditions

mutuallyagreedby[CRXX]andtheConsultantinwriting.

第三條甲方義務(wù)

注：

I.本條款僅列舉了一般情況下勘察設(shè)計(jì)標(biāo)前協(xié)議中CRXX作為潛在總承包商的義務(wù)，

具體應(yīng)用中使用單位需要根據(jù)項(xiàng)目實(shí)際情況，對(duì)該條內(nèi)容進(jìn)行修改、刪除或添加。

2.本條款下CRXX指定的代表一般情況下也是NOTICE條款中指定的通信聯(lián)絡(luò)人，也

可以根據(jù)需要指定不同的人。

3.3.5條考慮到大型復(fù)雜項(xiàng)目中不同專業(yè)的勘察設(shè)計(jì)可能需要不同勘察設(shè)計(jì)方完成，或

者有些成本投入過大的前期服務(wù)內(nèi)容勘察設(shè)計(jì)方一般不愿意免費(fèi)提供（如測量、地

質(zhì)勘查），此外，有些業(yè)主會(huì)要求承包商代為委托第三方完成環(huán)境影響評(píng)估、職業(yè)健

康與安全評(píng)估、地震影響評(píng)估、社會(huì)安全評(píng)估等。這些情況下作為投標(biāo)人需要另行

委托，但相關(guān)成果可要求本協(xié)議下的勘察設(shè)計(jì)方進(jìn)，亍審核。

4.在分包的合作模式，此類另行委托的服務(wù)費(fèi)用一般由甲方（本項(xiàng)目投標(biāo)人）承擔(dān)。

5.如以上服務(wù)需要委托給本協(xié)議下的勘察設(shè)計(jì)方，均應(yīng)當(dāng)在Schedule1中明確約定，并

且在Schedule2中約定成本分?jǐn)偂?/p>

6.3.6條中CRXX協(xié)助咨詢方取得項(xiàng)目所在國簽證或其他入境許可的義務(wù)，當(dāng)咨詢方來

自第三國時(shí)，CRXX并不一定方便給予此類協(xié)助，在此情形下可以將此條刪除。

甲方作為潛在承包商應(yīng)當(dāng)有效并適當(dāng)?shù)刂鲗?dǎo)標(biāo)前階段的項(xiàng)目推介、準(zhǔn)備、談判及

建議書/投標(biāo)書遞交等相關(guān)工作和進(jìn)程。甲方應(yīng)偵責(zé)與業(yè)主及其他項(xiàng)目利益相關(guān)

方的聯(lián)絡(luò)和協(xié)調(diào)。

3.1甲方代表

3.1.1為方便本協(xié)議的履行，甲方在此指定【代表的姓名】作為其代表（以下稱

“甲方代表該代表應(yīng)當(dāng)具有代表甲方履行本協(xié)議的充分授權(quán)。

3.1.2甲方可以根據(jù)不時(shí)之需要更換其代表，但應(yīng)事先書面通知乙方。

3.2現(xiàn)場調(diào)查、資料和信息

3.2.1甲方負(fù)責(zé)發(fā)起并組織現(xiàn)場調(diào)查，以便檢查項(xiàng)目現(xiàn)場情況，收集場地地形、

地下資料?，現(xiàn)場水文、氣象、地址及環(huán)境資料，業(yè)主的初步勘察設(shè)計(jì)文件，

以及其他與項(xiàng)目有關(guān)的資料和信息、。

3.2.2甲方應(yīng)在合理的時(shí)間內(nèi)無償向乙方提供其所擁有的與項(xiàng)目有關(guān)的資料和信

息。甲方還應(yīng)及時(shí)向乙方提供其隨時(shí)掌握的所有此類資料和數(shù)據(jù)。

3?3會(huì)議、討論和談判

甲方負(fù)責(zé)安排必要的會(huì)議和談判，并可以要求乙方及其他有關(guān)人員參與討論工作

進(jìn)展以及其他與本項(xiàng)目有關(guān)的事項(xiàng)。

3.4通信

除本協(xié)議另有約定，甲方負(fù)責(zé)與本項(xiàng)目業(yè)主及其他利益相關(guān)方之間的信函往來、

文件收發(fā)及其他信息溝通。

3.5其他咨詢服務(wù)

甲方有權(quán)決定將本協(xié)議下乙方服務(wù)范圍以外的完成建議書/投標(biāo)書準(zhǔn)備及遞交所

必不可少的其他咨詢服務(wù)委托給第三方完成。

3.6協(xié)助

甲方應(yīng)盡其所能為乙方及其人員和分包商（視情況而定）提供如下協(xié)助：

1）提供項(xiàng)目所在國入境、居留、工作和出境所必需的文件；

2）當(dāng)服務(wù)需要時(shí)，提供通暢的通道；

3）提供與其他組織聯(lián)系的渠道，以收集履行本協(xié)議所需要取得的資料和信

息。

3.7最終文整

甲方負(fù)責(zé)按照業(yè)主要求將乙方的可交付成果及其他勘察設(shè)計(jì)文件整合到最終的

建議書/投標(biāo)書之中。甲方有權(quán)自行決定并組成建議書/投標(biāo)書中的最終報(bào)價(jià)。

3.8項(xiàng)目合同簽署

項(xiàng)目中標(biāo)后，甲方負(fù)責(zé)簽署業(yè)主最終授予的項(xiàng)目合同（如有）。

3.OBLIGATIONSOFCRXX

3.2Siteinvestiiation,dataandinformation

3.2.1|CRXX|mayinitiateandorganizesiteinvestigationtoexaminethesiteandto

collectnecessarydataandinformationonthetopographyofthesiteandon

sub-surface,hydrological,climatic,geologicalandenvironmentalconditionsat

thesite,theEnn)loyer\preliminarysurveyanddesign,andanyothernecessary

dataandinformationinconnectionwiththeProjectduringthepre-bidstage.

3.22|CRXX|shallfumishwithoutchargeandwithinareasonabletimeallpertinent

dataandinformationinitspossessiontotheConsullani.[CRXX]shallalso

promptlymakeavailabletotheConsultaolallsuchdataandinformationwhich

comesintoitspossessionfromtimetotime.

3.3Meetings,discussionsandnegotiation

[CRXX]shallarrangeorparticipateinnecessarymeetingsandnegotiationandmay

requiretheConsultantandotherstoattendfordiscussionoffutureworkand/orother

mattersinconnectionwiththeProject.

3.4Communications

UnlessotherwiseprovidedinthisAgreement,[CRXX]shallberesponsiblefor

exchangeofletters,documentsandothercommunicationswiththeEmployerandany

otherstakeholdersoftheProject.

3?5Otherconsultancyservices

[CRXX]atitssolediscretionmaydecidetodelegatetheotherconsultantsfor

provisionoftheserviceswhicharcnotinScopeofServicesoftheConsukantunder

thisAgreement,butwhicharenecessaryforpreparationandsubmittalof

ProDOsal/Tender.

3.6Assistance

InthecountrywheretheProjectislocatedandinrespectoftheConsultant,its

personnelandsub-consultants,ifany,asthecasemaybe,|CRXX]shalldoallinits

powertoassistin:

a)theprovisionofdocumentsnecessaryforentry,residency,working,and

exit;

b)providingunobstructedaccesswhereveritisrequiredfortheServices;

c)providingaccesstootherorganizationsforcollectionofinformationwhich

istobeobtainedbytheConsultant.

3.7FinalDocumentsConsolidation

[CRXX]shallincorporatetheConsultant\Deliverablesandotherdesigndocuments

intofinalProDosnl/Tendcrdocumentsinconformitywiththerequirementsofthe

Employer.[CRXX|isentitledtodecideandmakeupthefinalquotationin

Proposal/Tcndcratitssolediscretion.

3.8ExecutionoftheContract

[CRXX]shallbeentitledtoexecutetheContract(ifany)finallyawardedbythe

Employerto[CRXX]underitsownname.

I.本條款僅列舉了一般情況下勘察設(shè)計(jì)標(biāo)前協(xié)議中勘察設(shè)計(jì)方作為潛在的勘察設(shè)計(jì)分

包應(yīng)當(dāng)承擔(dān)的標(biāo)前義務(wù)，具體應(yīng)用中使用單位需要根據(jù)項(xiàng)目實(shí)際情況，對(duì)該條內(nèi)容

進(jìn)行修改、刪除或添加。

2.4.2條中勘察設(shè)計(jì)方指定的代表一般情況下也是NOTICE條款中指定的通信寐絡(luò)人，

也可以指定不同的人，

3.4.2條在具體項(xiàng)目使用時(shí)建議根據(jù)需要增加對(duì)設(shè)計(jì)匝隊(duì)相關(guān)人員組成及其職業(yè)資格、

職稱等級(jí)、專業(yè)從業(yè)年限進(jìn)行約定。如可約定，項(xiàng)目總體設(shè)計(jì)負(fù)賁人具有高級(jí)職稱，

從業(yè)十五年以上；各專業(yè)設(shè)計(jì)負(fù)貪人應(yīng)具有中級(jí)以上職稱，從業(yè)7年以上。

4」乙方一般義務(wù)

乙方應(yīng)遵守有關(guān)法律的規(guī)定，按照技術(shù)規(guī)范、標(biāo)準(zhǔn)、規(guī)程、業(yè)主招標(biāo)文件及甲方

的要求，完成本協(xié)議約定范圍內(nèi)的標(biāo)前勘察設(shè)計(jì)工作，提供符合技術(shù)標(biāo)準(zhǔn)及本協(xié)

議要求的可交付成果，并對(duì)其負(fù)責(zé)。

4.2乙方的代表和團(tuán)隊(duì)

4.2.1為方便本協(xié)議的履行，乙方在此指定【代表的姓名】作為其代表（以下稱

“乙方代表”）。該代表應(yīng)當(dāng)具有代表乙方履行本協(xié)議的充分授權(quán)。

4.2.2乙方應(yīng)組建由工程師和其他專業(yè)人員組成的團(tuán)隊(duì)來完成標(biāo)前勘察設(shè)計(jì)工作。

團(tuán)隊(duì)成員需具備完成其所負(fù)責(zé)的專業(yè)工作必備的資格、經(jīng)驗(yàn)和能力。乙方

在此保證其專業(yè)人員和分包商（如有）具備完成本協(xié)議下標(biāo)前勘察設(shè)計(jì)工

作和項(xiàng)目合同下勘察設(shè)計(jì)工作所需要的必要資質(zhì)、經(jīng)驗(yàn)和能力。

4.2.3乙方可以根據(jù)不時(shí)之需要更換其代表以及團(tuán)隊(duì)成員，但應(yīng)事先取得甲方書

面同意，且更換后的代表和成員應(yīng)具備同樣的資格、經(jīng)驗(yàn)和能力c

4.3標(biāo)前勘察設(shè)計(jì)工作范圍和計(jì)劃

4.3.1乙方應(yīng)當(dāng)按照本辦議約定，在規(guī)定的時(shí)間內(nèi)（如沒有此等時(shí)間限制，則根

據(jù)建議書/投標(biāo)書準(zhǔn)備和遞交的實(shí)際需要）完成附表11服務(wù)范圍和計(jì)劃】

中所列的服務(wù)并提交相應(yīng)的可交付成果。

4.3.2應(yīng)甲方要求，乙方應(yīng)及時(shí)參加現(xiàn)場調(diào)查并協(xié)助收集場地和地下地形資料,

現(xiàn)場水文、氣象、地址及環(huán)境資料，業(yè)主的前期勘察設(shè)計(jì)文件，以及其他

與項(xiàng)目有關(guān)的資料和信息。

4.3.3乙方應(yīng)當(dāng)仔細(xì)檢查業(yè)主的招標(biāo)文件，以及由甲方提供的或雙方在現(xiàn)場考察

期間收集的任何其他資料和信息。如乙方發(fā)現(xiàn)這些文件、資料或信息中存

在任何錯(cuò)誤、遺漏或歧義，應(yīng)盡快通知甲方。

4.3.4乙方承諾具專業(yè)人員和分包商（如有）能夠按時(shí)參加與具他項(xiàng)目利益相關(guān)

方的會(huì)議、研討和談判。乙方應(yīng)當(dāng)及時(shí)提出與項(xiàng)目有關(guān)的疑問并要求澄清，

也應(yīng)當(dāng)及時(shí)澄清其他利益相關(guān)方提出的有關(guān)本項(xiàng)目勘察設(shè)計(jì)的疑問，無論

是否在該等會(huì)議、研討和談判中或在其他場合提出。

4.3.5乙方應(yīng)負(fù)責(zé)按照業(yè)主和甲方的要求完成建議書/投標(biāo)書的勘察設(shè)計(jì)部分。該

部分工作包括但不限于項(xiàng)目建議書、可行性研究、初步設(shè)計(jì)及工程量清單。

乙方也應(yīng)研究必要的替代方案來優(yōu)化最終的建議書/投標(biāo)書。

4.OBLIGATIONSOFTHECONSULTANT

4.1Skill,CareandDiligence

TheConsultantshallexercisereasonableskill,careanddiligenceanduseitsbest

effortinperformanceofPre-bidConsultancyServicesunderthisAgreement.

4.2Consultant'srepresentativeandteam

4.2.1ForadministrationofthisAgreement,theConsullanldesignatesherein[the

nameofindividual]tobehisRepresentative.SuchRepresentativeshallhave

fullauthoritytoactonbehalfoftheConsultantforallpurposesinconnection

withthisAgreement.

4.2.2TheConsuhanishallformateam,consistingofengineersandother

professionals,qualified,experiencedandcompetentinthedisciplinesofthe

Servicesforwhichtheyareresponsible,toprovidethePre-bidConsultancy

Services.TheConsultantwarrantsthattheConsultant,theConsultant's

professionalsandsubconsultants(ifany)havethequalification,experienceand

competencenecessaryforthePre-bidConsultancyServicesandSurveyand

DesignWorksoftheProject.

4.2.3TheConsullanlmayfromlimetolimereplacetheRepresenlativeandtheLearn

members.Suchreplacementshallbesubjecttopriorwrittenconsentof[CRXX]

andthereplacedrepresentativesormembersshouldhavethesame

qualifications,experienceandcapabilities.

4.3ScopeandprogrammeofServices

4.3.1TheConsultantshallperformthePre-bidConsultancyServicessetforthunder

thisAgreementandprovideDeliverablesstatedinSchedule1[Scopeand

programmeofServices]inaccordancewiththetimelimitsspecifiedtherein,

iftherearenosuchlimelimits,asandwhenfromtimetotimemaybe

necessaryforproperpreparationandsubmiltaiofProposal/Tendrr.

4.3.2Ifrequestedby[CRXX],theConsultantshallpromptlyparticipateinthesite

investigationandprovidereasonableassistancetocollectrelevantdataand

informationonthetopographyofthesiteandonsub-surface,hydrological,

climatic,geologicalandenvironmentalconditionsatthesite,theEmployer's

preliminarysurveyanddesign,andanyotherdataandinformationin

connectionwiththeProject.

4.3.3TheConsullamshallscrutinizetheEmployer'stenderdocumentsandanyother

relevantdataandinformationprovidedby[CRXX]orcollectedbytheParties

duringsiteinvestigation.IftheConsultamfindsanyerror,omissionor

ambiguityinsuchdocuments,dataandinformationasaresultofscrutinizing,

theConsullanlshallgiveanoticeto[CRXX|assoonaspracticable.

4.3.4TheConsultaelundertakersthattheprofessionalsandsubconsultantsshallbe

availabletoattendthemeetings,discussionsandnegotiationwithother

stakeholdersoftheProject.TheConsultantshallraisequestionsinconnection

withProjectandrequestforclarificationassoonaspracticable,andpromptly

clarifyanyquestionsregardingtosurveyanddesignoftheProjectraisedby

otherstakeholdersoftheProieelwhatsoeverincourseofsuchmeetings,

discussionsandnegotiation,orinanyotheroccasions.

4.3.5TheConsultantshallberesponsibleforthedesignportionofthe

Proposal/Tcndcr.ThisPortion,whichmayinclude(butnotlimitedto)project

proposal,feasibilitystudy,Preliminarydesign,andbillsofquantities,shallbe

preparedinconibrmitywithrequirementsoftheEmployerand[CRXX].The

Consullanlalsoshalldevelopalternativesasmaybenecessarytooptimizethe

Proposal/Tender.

第五條違約責(zé)任

注：

1.本條僅對(duì)違約貪任做一般描述，并未明確具體的違約貴任。使用單位可根據(jù)具體情

況增加具體的違約責(zé)任。如乙方無正當(dāng)理由中途退出項(xiàng)目導(dǎo)致甲方重新委托勘察設(shè)

計(jì)單位的額外支出、乙方原因?qū)е马?xiàng)目無法中標(biāo)等。如可以預(yù)估甲方損失，可以約

定一定具體違約金。

2.本款中英文表述并非完全一致，中文用于與中方主體簽約，英文用于與外方主體簽

約,與外方簽約時(shí)如需采用中英對(duì)照，詞條應(yīng)按需翻譯為中文。

如本協(xié)議任何一方因未能履行、未能完全履行或延遲履行本協(xié)議下的義務(wù)導(dǎo)致標(biāo)

前工作無法繼續(xù)進(jìn)行，雙方應(yīng)真誠協(xié)商，予以妥善解決。若違約方的違約行為給

守約方造成任何損失、支出、損害和責(zé)任，違約方應(yīng)對(duì)守約方承擔(dān)違約責(zé)任，并

賠償守約方的全部損失、支出、損害和責(zé)任。

5.INDEMNIFICATION

EachPartyshallindemnifyandsaveharmlesstheotherPartyfromandagainstall

losses,expense,damageandliabilityofanynaturewhatsoeverarisingoutof(l)that

Party'sfailuretoperformitsresponsibilitiesinaccordancewiththisAgreementand(2)

thatParty'sactionsorfailuretoactwhenactionisrequired,asaPartyinthis

Agreement.

第六條費(fèi)用和付款

除非本協(xié)議附表2另有規(guī)定，雙方應(yīng)各自承擔(dān)自身因項(xiàng)目推介、準(zhǔn)備、談判及建

議書/投標(biāo)書提交發(fā)生的所有費(fèi)用。

除非雙方另有約定，如果甲方在業(yè)主授予其項(xiàng)目合同之后將雙方議定部分的勘察

設(shè)計(jì)工作分包給其他勘察設(shè)計(jì)方，甲方應(yīng)在收到乙方發(fā)票后30天內(nèi)核實(shí)并補(bǔ)償

乙方因提供標(biāo)前勘察設(shè)計(jì)工作所發(fā)生的實(shí)際支出，外加【利潤百分比％】的合埋

利潤。如因乙方自身原因?qū)е聼o法將雙方議定部分的勘察設(shè)計(jì)工作分包給乙方時(shí),

甲方無義務(wù)支付任何上述支出和（或）利潤。

6.COSTSANDPAYMENT

6.1UnlessotherwiseprovidedinSchedule2,eachPartyshallbearthecostincurred

byitinconnectionwiththepromotion,preparation,negotiationandsubmittal

oftheProposal/Tender.

6.2UnlessotherwiseagreedbytheParties,if[CRXX]subcontractstheagreed

portionofSurveyandDesignWorkstootherconsultantsaftertheawardofthe

Contractto|CRXX|bytheEmployer,[CRXX]shallverifyandreimbursethe

ConsullarHtheout-of-pocketexpensesincurredbyitinperformingPre-bid

ConsultancyServices[plusareasonableprofitof*%],within30daysafter

receivingtheinvoicesfromtheConsukani.Totheextentthattheagreedportion

ofSurveyandDesignWorkscannotbesubcontractedtotheConsultantdueto

itsownfault,[CRXX]isnotobligedtopayanysuchout-of-pocketexpenses

and/orprofit.

采用以下條款，僅對(duì)勘察設(shè)計(jì)方施加排他貴任：

除非事先獲得甲方的書面同意，在本協(xié)議范圍內(nèi)或與本項(xiàng)目有關(guān)的事項(xiàng)上，乙

方不得與其他第三方進(jìn)行任何合作。乙方保證其子公司以及它可行使控制權(quán)的

其他公司或個(gè)人也應(yīng)當(dāng)遵守以上排他性原則。

TheCoesullanlshallnotengageinanyactivitywithanyotherfirmonmatters

fallingunderthescopeofthisAgreemenl.TheConsultantwarrantsthatthe

principleofexclusivitywillalsobeadheredtobyitssubsidiaries,andotherfirms

orindividualsoverwhichitmayexercisecontrol.

7.EXCLUSIVITY

ThePartiesshallcooperatetheonbasisofexclusivity,i.e.neitherofthemshall

engageinanyactivitywithanyotherfirmonmattersfallingunderthescopeofthis

Agieement.EachofthePartieswarrantsthattheprincipleofexclusivitywillalsobe

adheredtobyitssubsidiaries,andotherfirmsorindividualsoverwhichitmay

exercisecontrol.

第八條轉(zhuǎn)讓和分包

8.1未經(jīng)另一方事先書面同意，任何一方均不得全部或部分轉(zhuǎn)讓本協(xié)議或本協(xié)

議下的任何利益或收益。

8.2未經(jīng)甲方事先書面同意，乙方不得將本協(xié)議下任何標(biāo)前勘察設(shè)計(jì)工作分包

給第三方。乙方也不得在未經(jīng)甲方事先同意的情況下修改任何此前經(jīng)甲方

同意的分包的內(nèi)容和范圍。

8.ASSIGNABILITYANDSUBCONTRACTING

8.1NeitherPartyshallassignthewholeoranypanoftheAgreementoranybenefit

orinterestinorundertheAgreement.However,citherPartymayassignthe

wholeoranypartoftheAgreementwiththepriorconsentoftheotherParty,at

solediscretionofsuchotherParty.

8.2TheConsultantshallnot,withoutthepriorwrittenconsentof[CRXX],

sub-contracttheperformanceofthewholeoranypartofthePre-bid

ConsultancyServices.Anysub-contractmadebytheConsultantwiththe

consentof[CRXX]shallnotsubsequentlybemodifiedwithouttheprior

writtenconsentof[CRXX].

第九條正式協(xié)議

注：

1.作為標(biāo)前協(xié)議，一般不對(duì)將來“正式協(xié)議”的內(nèi)容做太多約定。但是使用單位可以

根據(jù)雙方之間的實(shí)陸合作需求，增加已經(jīng)基本商定的未來分包合同的框架和原則。

2.關(guān)于分包合同下勘察設(shè)計(jì)費(fèi)，因設(shè)計(jì)投標(biāo)報(bào)價(jià)中勘察設(shè)計(jì)費(fèi)的報(bào)價(jià)，可以在服務(wù)范

圍中要求乙方按照《工程勘察設(shè)計(jì)收費(fèi)標(biāo)準(zhǔn)》（2002）或其他計(jì)費(fèi)標(biāo)準(zhǔn)，結(jié)合實(shí)際情況

預(yù)估勘察設(shè)計(jì)費(fèi)，甲方在此基礎(chǔ)上增加自身勘察設(shè)計(jì)管理成本及合理利潤后，納入

到給業(yè)主的報(bào)價(jià)當(dāng)中。在此情況下，建議此條下對(duì)乙方勘察設(shè)計(jì)費(fèi)進(jìn)行約束，以免

勘察設(shè)計(jì)費(fèi)超過提交給業(yè)主的報(bào)價(jià)。

在業(yè)主授予甲方項(xiàng)目合同后，雙方應(yīng)按照本協(xié)議及項(xiàng)目合同簽署分包合同（以下

稱“正式協(xié)議”），詳細(xì)規(guī)定雙方之間的權(quán)利、義務(wù)和關(guān)系。

9.FINALAGREEMENT

UpontheawardoftheConlraclbyEmployerto|CRXX|,aSubcontract（t4Final

Agreement^^）shallbeexecuted,stipulatingindetailtherights,obligations,and

relationsbetweenthePartiesonthebasisofthisAgreement,andinaccordancewith

theContract.

第十條期限和終止

本協(xié)議自雙方簽字并蓋章之日起生效，并在以下任一情況發(fā)生時(shí)終止：

1)雙方按照上述【第九條】簽署正式協(xié)議；

2)建議書/投標(biāo)書已經(jīng)被證實(shí)不被業(yè)主接受：

3)業(yè)主出于任何原因取消或放棄該項(xiàng)目；

4)任何一方根本違約或預(yù)期違約，并且沒有可能采取補(bǔ)救措施以實(shí)現(xiàn)本協(xié)

議的目的。

10.DURATIONANDTERMINATION

ThepresentAgeeDmentshallcomeintofullforceuponthedateofitssignatureand

shallbeterminated:

a)atthetimetheFinalAgreement(referredtoin[Clause9]above)hasbeen

enteredintobetweentheParties;or

b)atthetimeithasbeensubstantiatedthattheirProuosal/Tendcrwillnotbe

acceptedbythe
