fPartyBfailstopaytheagreedamountontimeordefaultsinanyotherobligationunderthisContract,PartyAshallhavetherightto:如果乙方未能按約定時(shí)間支付款項(xiàng)或在本合同項(xiàng)下有任何其他違約行為，甲方有權(quán)：a)Suspendthedeliveryofgoods;a)暫停交付貨物；b)Claimfordamages;b)要求賠償損失；c)TerminatethisContract.c)終止本合同。10.2DefaultbyPartyA:10.2甲方違約責(zé)任：IfPartyAfailstodeliverthegoodsontimeorfailstomeetanyotherobligationunderthisContract,PartyBshallhavetherightto:如果甲方未能按時(shí)交付貨物或未能履行本合同項(xiàng)下的任何其他義務(wù)，乙方有權(quán)：a)Claimfordamages;a)要求賠償損失；b)TerminatethisContract.b)終止本合同。11.ForceMajeure第十一條不可抗力11.1DefinitionofForceMajeure:11.1不可抗力定義：ForcemajeureshallincludeanyeventbeyondthecontrolofeitherParty,includingbutnotlimitedtonaturaldisasters,war,governmentactions,andpandemics.不可抗力事件指任何超出雙方控制范圍的事件，包括但不限于自然災(zāi)害、戰(zhàn)爭(zhēng)、政府行為和流行病。11.2EffectsofForceMajeure:11.2不可抗力的影響：IfeitherPartyispreventedfromperformingitsobligationsunderthisContractduetoaforcemajeureevent,theaffectedPartyshallpromptlynotifytheotherPartyandtakeallreasonablemeasurestomitigatetheeffectsoftheevent.如果因不可抗力事件導(dǎo)致任何一方無(wú)法履行本合同項(xiàng)下的義務(wù)，受事件影響的一方應(yīng)及時(shí)通知另一方，并采取一切合理措施減輕事件的影響。11.3ExtensionofTime:11.3?履行期限的延長(zhǎng)：ThetimeforperformanceofthisContractshallbeextendedbyaperiodequaltothedurationoftheforcemajeureevent.本合同的履行期限應(yīng)相應(yīng)延長(zhǎng)，延長(zhǎng)的期限與不可抗力事件的持續(xù)時(shí)間相同。12.DisputeResolution第十二條爭(zhēng)議解決12.1Negotiation:12.1協(xié)商：AnydisputesarisingoutoforinconnectionwiththisContractshallfirstbesettledbyfriendlynegotiationbetweentheParties.因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，應(yīng)由雙方友好協(xié)商解決。12.2Arbitration:12.2仲裁：Ifthedisputescannotberesolvedthroughnegotiation,theyshallbesubmittedtotheArbitrationCommissionforarbitrationinaccordancewithitsrules.如果協(xié)商未果，爭(zhēng)議應(yīng)提交至仲裁委員會(huì)，按照其規(guī)則進(jìn)行仲裁。12.3Litigation:12.3訴訟：ThePartiesmayalsoresorttolegalactioninthecourtsofChina.雙方還可向中國(guó)法院提起訴訟。13.GoverningLaw第十三條合同適用法律ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.本合同的簽訂、履行、解釋及爭(zhēng)議解決均適用中華人民共和國(guó)法律。14.AmendmentsandSupplements第十四條修改與補(bǔ)充AnyamendmentsorsupplementstothisContractmustbemadeinwritingandjointlysignedbybothParties.對(duì)本合同的任何修改或補(bǔ)充均應(yīng)以書(shū)面形式作出，并由雙方共同簽字確認(rèn)。15.Miscellaneous第十五條其他條款15.1EntireAgreement:15.1整體協(xié)議：ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallpriororcontemporaneousagreements,understandings,orrepresentations,whetheroralorwritten.本合同構(gòu)成雙方就本合同所述事項(xiàng)達(dá)成的全部協(xié)議，superseding此前或期的所有口頭或書(shū)面協(xié)議、諒解或陳述。15.2Counterparts:15.2份數(shù)：ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.本合同可以多份簽署，每份均視為正本，但所有副本共同構(gòu)成同一文件。15.3Notices:15.3通知：Allnotic
