2025合同與協(xié)議的英語表達(dá)CONTRACTANDAGREEMENTFOR2025thisContract(the"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"PartyA")and(the"PartyB").Thepartiesheretoagreeasfollows:1.DEFINITIONS1.1Parties:PartyAandPartyBshallcollectivelybereferredtoasthe"Parties"andindividuallyasthe"Party"wherethecontextsorequires.1.2Contract:Thiswrittenagreement,includingallexhibits,schedules,andattachments,constitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.1.3EffectiveDate:ThedateuponwhichthisAgreementbecomesbindingandoperative,asspecifiedinthepreamble.1.4Law:Anyreferencetoalaworregulationshallincludeallamendments,supplements,andregulationsthereunder,aswellasanysuccessorlaws.2.REPRESENTATIONSANDWARRANTIES2.1ByPartyA:PartyArepresentsandwarrantsthatithasthefullauthority,right,andcapacitytoenterintothisAgreementandtoperformitsobligationshereunder.PartyAfurtherrepresentsthatallinformationprovidedtoPartyBistrue,accurate,andcompletetothebestofitsknowledge.2.2ByPartyB:PartyBrepresentsandwarrantsthatithasthefullauthority,right,andcapacitytoenterintothisAgreementandtoperformitsobligationshereunder.PartyBfurtherrepresentsthatallinformationprovidedtoPartyAistrue,accurate,andcompletetothebestofitsknowledge.2.3NoConflict:EachPartywarrantsthattheexecutionandperformanceofthisAgreementdoesnotviolateanyagreement,order,orlawtowhichitissubject.2.4IndependentLegalAdvice:EachPartyacknowledgesthatithashadtheopportunitytoseekindependentlegaladviceinconnectionwiththeenteredintothisAgreement.3.COVENANTS3.1Performance:EachPartyagreestoperformitsobligationsunderthisAgreementinaprofessionalandtimelymanner.3.2Confidentiality:EachPartyagreestomaintaintheconfidentialityofanyandallinformationprovidedbytheotherParty,unlessotherwiserequiredbylaworwiththepriorwrittenconsentofthedisclosingParty.3.3Non-Solicitation:NeitherPartyshallsolicitorinterferewiththebusinessrelationshipsorcontractualobligationsoftheotherPartyduringthetermofthisAgreement.3.4Compliance:EachPartyagreestocomplywithallapplicablelaws,regulations,andstandardsintheperformanceofthisAgreement.4.PAYMENTSANDREMUNERATION4.1Amount:ThetotalamounttobepaidbyPartyBtoPartyAunderthisAgreementshallbe(the"TotalAmount").4.2PaymentTerms:PaymentshallbemadeinaccordancewiththescheduleattachedheretoasExhibitA.4.3LatePayment:Anyoverduepaymentshallincuralatefeeofpermonth,unlessotherwiseagreedinwriting.5.INTELLECTUALPROPERTY5.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,andtradesecrets,shallremainwiththerespectivePartyunlessotherwiseagreedinwriting.5.2Assignment:NoassignmentortransferofintellectualpropertyrightsshallbemadewithoutthepriorwrittenconsentoftheotherParty.6.CONFIDENTIALITY6.1Scope:Confidentialinformationshallinclude,butisnotlimitedto,businessplans,financialdata,technicalspecifications,andanyotherinformationdisclosedbyonePartytotheother.6.2Duration:TheobligationsunderthissectionshallcontinueforaperiodofyearsaftertheterminationofthisAgreement.6.3Exclusions:Confidentialinformationshallnotincludeinformationthatispubliclyavailableorreceivedfromathirdpartywithoutbreachofconfidentiality.7.TERMINATION7.1TerminationforConvenience:EitherPartymayterminatethisAgreementupon(number)days'writtennotice.7.2TerminationforBreach:EitherPartymayterminatethisAgreementimmediatelyupontheotherParty'smaterialbreachofitsobligations,providedthatthebreachingPartyisgiven(number)daystocurethebreach.7.3EffectofTermination:Ontermination,allrightsandobligationsunderthisAgreementshallcease,exceptforthosethatbytheirnatureareintendedtosurvivetermination.8.WARRANTIESOFNON-INFRINGEMENT8.1ByPartyA:PartyAwarrantsthatallservicesprovidedunderthisAgreementshallnotinfringeupontheintellectualpropertyrightsofanythirdparty.8.2ByPartyB:PartyBwarrantsthatallproductsandservicesprovidedunderthisAgreementshallnotinfringeupontheintellectualpropertyrightsofanythirdparty.8.3Indemnification:EachPartyshallindemnifyandholdharmlesstheotherPartyagainstanyclaims,damages,orexpensesarisingfromabreachofthewarrantiessetforthinthissection.9.LIABILITY9.1LimitationofLiability:NeitherPartyshallbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforrelatingtothisAgreement.9.2ExclusionofWarranty:Therearenowarranties,expressorimplied,exceptassetforthinthisAgreement.10.APPLICABLELAW10.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2Jurisdiction:AnylegaldisputesarisingoutofthisAgreementshallberesolvedinthecourtsof.11.DISPUTERESOLUTION11.1Negotiation:Intheeventofadispute,thePartiesshallfirstattempttoresolvethematterthroughgoodfaithnegotiations.11.2Arbitration:Shouldnegotiationsfail,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof.12.MISCELLANEOUS12.1EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesal
