SHIPMENT:The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. SHIPPING ADVICE:The sellers shall, immediately upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. In case due to the sellers not having faxed in

GUARANTEE OF QUALITY:The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new

12、 and unused, and complies in all respects with the quality and specification stipulated in this Contract. CLAIMS:'s engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses(such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.)

15、符( 除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù) ) ，買方應(yīng)該依據(jù)中華人民共和國出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試 人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用 ( 包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、 保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等) 均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收?qǐng)?bào)告后 12個(gè)月內(nèi)；由于貨物內(nèi)在的質(zhì)量、 差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通 知賣方， 并同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。 賣方在接到買方的索賠后， 有責(zé)任立即 解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方 的上述索

16、賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。15. FORCE MAJEURE:The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immedia

17、tely of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate ofthe accident issued by theCompetent GovernmentAuthorities where the accident occurs as evidence thereof. Under such circumstances the Selle

18、rs, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不可抗力： 對(duì)于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨， 賣方可以不承 擔(dān)責(zé)任。 賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方， 并

19、且賣方應(yīng)用航空郵件將有關(guān)政 府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。 在此情況下， 賣方仍應(yīng)盡最大努力采取各種措 施促使貨物的發(fā)運(yùn)。如果事故持續(xù)十周，買方有權(quán)取消該合同。16. LATE DELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agr

20、ee to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seve

21、n days. Odd days less than seven days should be counted as seven days.In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the

22、 aforesaid penalty to the Buyers without delay.遲交貨和罰金： 如果賣方未能按合同規(guī)定及時(shí)交貨 ( 除了本合同 15條款所言的不可抗力 ) ，買方同意在賣 方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價(jià)值的5%，罰金按每 7日 0.5%計(jì)算，少于 7日的增加天數(shù)按 7日計(jì)。 如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買方有權(quán)取消該合同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。17.
